These terms govern the IT aggregation and solution services provided by NEXORBIT TECHNOLOGIES (SMC-PRIVATE) LIMITED.
Agreement to Terms
By signing a service agreement or paying an invoice, the client accepts these Terms and Conditions in full.
Aggregator Role
The client acknowledges that Nexorbit acts as an aggregator and that some services may be subject to the terms of third-party providers.
Intellectual Property
Proprietary solutions developed by Nexorbit remain our property until full payment is received. Third-party software is subject to its respective licenses.
Payment Schedule
Standard projects require a 50% deposit, with the remaining 50% due before final handover or the «Go-Live» phase.
Client Responsibilities
The client must provide necessary access, data, and feedback. Delays on the client’s side will result in extended delivery timelines.
Limitation of Liability
We are not liable for business losses, data corruption, or downtime caused by third-party service provider failures or client-side errors.
System Security
While we implement security solutions, the client is responsible for maintaining strong internal password policies and physical security.
Service Modifications
We reserve the right to modify the service bundle to include better or updated third-party components that offer superior value to the client.
Confidentiality
Both parties agree to protect and keep secret all trade secrets, pricing, and business logic shared during the engagement.
Termination
Either party may terminate a project with 14 days’ written notice. The client will be billed for all work completed up to that point.
Governing Law
These terms are governed by the laws of Pakistan. Any disputes shall be settled in the competent courts of Karachi.
